**Role Summary:**

The Sr Legal Counsel - Government and Commercial will serve as a member of GE Power's North American legal team that counsels on a variety of substantive legal issues involving the power industry. In this role, you will be responsible for major and complex assignments with long-term business implications, managing complex issues, and contributing to the overall business strategy.

**Essential Responsibilities:**

You will serve as the go-to lawyer for public procurement transactions and will work collaboratively with leaders and business teams across GE Power to ensure all GE businesses are equipped with the expertise and know-how to pursue and fulfill US federal, state, and local government business opportunities with confidence and utmost integrity. In particular, you will work with teams that provide power management solutions for the U.S. Navy, on both the prime and subcontract level.

As the Sr Legal Counsel - Government and Commercial, you will:

+ Provide legal leadership and strategic, legal and compliance advice to government contracting teams, finance teams, supply chain and procurement, and legal colleagues on contractual and regulatory risk and ethics rules impacting interactions with government officials

+ Structure, negotiate, and close complex commercial transactions (including involving digital, cloud-based and software opportunities) and assess and support resolution of disputes and litigation, overseeing outside counsel when they are brought in to assist

+ Work and negotiate with legal and contract project teams concerning complex commercial and construction projects

+ Serve as Power Legal's representative on the GE Government COE

+ Lead projects and initiatives as a recognized expert in a specialized field

+ Advise on regulatory, privacy, antitrust and competition and compliance matters

+ Work with the business team to develop legal templates, processes and Best Practices for new business and commercial models

+ Train commercial, operational and functional teams in legal matters, including Government

+ Support the Power Conversion and Grid Solutions Businesses


+ Juris Doctorate from an ABA accredited law school

+ Member in good standing with the State Bar

+ Minimum of 7 years of experience in business law, including negotiating and drafting commercial and transactional agreements, or complex business litigation

+ Minimum of 5 years of legal experience in government contracts law in a top law firm or corporate legal department

**Desired Characteristics:**

+ Minimum of 5 years of experience handling construction and/or EPC contracts

+ Strong knowledge of the Federal Acquisition Regulation, key laws, policies, process and practices applicable to closing governmental contracts, and DCAA cost accounting and pricing principles

+ Experience interacting with Government contracting officers, auditors, lawyers and other agency officials

+ Ability to think clearly and quickly under pressure, distilling complex issues into simple, actionable recommendations

+ Ability to satisfy multiple and often competing interests

+ Strong oral and written communication skills

+ Skilled influencer

+ Strong interpersonal and leadership skills

+ Commitment to integrity and professionalism

+ Established analytical ability

+ Ability to work independently and leverage the support of others in a fast-paced business environment
